1. DEFINITIONS

In these Terms, the following capitalized terms have the meanings below:

"iSale", "we", "us" — refers to [Company Legal Name], a company incorporated under the laws of the Socialist Republic of Vietnam, with business registration number [TBD], registered office at [TBD].
"Service" — iSale platform including mobile applications (iOS, Android), web application (app.isale.app), landing site (isale.app), APIs, and any related services.
"User", "you" — any individual or entity accessing or using the Service.
"Workspace" — an organizational unit within the Service containing Products, Projects, and User Content.
"Content" — any data, text, images, audio, video, or other material uploaded, created, or generated using the Service.
"AI-Generated Content" — Content produced by artificial intelligence components of the Service (scripts, voice-over, images, videos).
"Subscription" — a paid plan giving User access to enhanced features.
"Provider" — third-party AI service used to deliver iSale's functionality (e.g., OpenAI, Kling AI, VBee).
"Effective Date" — the date these Terms become legally binding, shown at the top of this document.

2. ACCEPTANCE & ELIGIBILITY

2.1 Acceptance

By creating an account, downloading our mobile app, or using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree, you must not use the Service.

2.2 Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) to use the Service.

If you are using the Service on behalf of a business or legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

2.3 Prohibited users

The Service is not available to:

Persons under 18 years of age
Persons previously suspended or removed from the Service
Residents of countries embargoed by the United Nations or where the Service is prohibited by law

3. ACCOUNT & AUTHENTICATION

3.1 Account creation

Accounts are created exclusively via:

Sign in with Google (Google OAuth 2.0)
Sign in with Apple (Apple ID OAuth)

We do not support email/password authentication.

3.2 Account security

You are responsible for:

Maintaining security of your Google or Apple account
All activity occurring within your iSale account
Notifying us immediately at security@isale.app of any unauthorized access

We are not liable for losses caused by your failure to safeguard credentials.

3.3 One person per account

You may not share account credentials. Each account is intended for one User. Sharing may result in suspension.

3.4 Account information accuracy

You agree to provide accurate, complete information and keep it current.

4. DESCRIPTION OF SERVICE

iSale is an AI-powered platform that enables Users to create short-form sales videos (TikTok/Reels/Shorts format) from product images and descriptions.

4.1 Core functionality

The Service provides:

Product image upload and storage
AI-powered product analysis and fact extraction
AI-generated script, caption, hook, and call-to-action
Text-to-speech voice generation (Vietnamese and other languages)
Video composition with templates, music, and subtitles
Optional AI-generated video scenes (premium tier)
Export of finished videos in MP4 format
Download of thumbnails, captions, and subtitles

4.2 Service evolution

We continuously improve the Service. We may:

Add new features
Modify existing features
Discontinue features (with reasonable notice for paid tier features)

We will not make material reductions in paid tier features without 30 days' notice and a pro-rata refund option.

4.3 Beta features

Some features may be labeled "Beta." Beta features are provided as-is and may change or be removed without notice. Beta features may have stability issues; you use them at your own risk.

5. SUBSCRIPTION, PRICING & PAYMENT

5.1 Subscription tiers

iSale offers the following tiers (as of Effective Date, subject to change with 30 days' notice):

5.2 Payment methods

Stripe (international card payments)
VNPay or MoMo (Vietnamese domestic methods)
Apple In-App Purchase (iOS mobile app)
Google Play Billing (Android mobile app)

5.3 Currency and taxes

Prices are stated in [USD / VND TBD].
Vietnamese VAT (10%) is included in displayed prices for Vietnamese Users.
Foreign Users may be charged according to local tax rules.
Invoices are issued upon request via billing@isale.app.

5.4 Charges

By subscribing, you authorize us (or our payment processor) to charge the applicable amount to your chosen payment method.

If payment fails:

We will retry the payment for 7 days
After 7 days, the account will be downgraded to Free tier
Existing content remains accessible (subject to retention policies in Privacy Policy)

5.5 Price changes

We may change subscription prices. For existing paid subscribers, price changes:

Take effect at the next billing renewal
Are notified at least 30 days in advance via in-app notice + email
May be cancelled by you before the change takes effect (cancellation under §6)

6. AUTO-RENEWAL & CANCELLATION

6.1 Auto-renewal

Subscriptions automatically renew at the end of each billing period (monthly or annual) until cancelled.

By subscribing, you expressly authorize automatic renewal.

6.2 How to cancel

You may cancel anytime via:

Mobile app: Settings → Billing → Cancel subscription
Web app: Settings → Quota & Billing → Cancel subscription
Apple IAP: via iOS Settings → Apple ID → Subscriptions
Google Play Billing: via Google Play Store → Subscriptions

6.3 Effect of cancellation

Cancellation takes effect at the end of current paid period
You retain access to paid features until period end
No refund for unused portion of the current period (except as required by law)
Account automatically downgrades to Free tier
Content remains accessible subject to Free tier limitations

6.4 Reactivation

You may reactivate at any time. Past content remains intact for at least 12 months after cancellation.

7. REFUND POLICY

Refund eligibility and procedure are governed by the Refund Policy (a separate document available at isale.app/legal/refund-policy).

Summary:

7-day satisfaction guarantee for first-time paid subscribers — full refund if requested within 7 days of first paid charge
After 7 days: no refund except as required by Vietnamese Consumer Protection Law
Mobile IAP refunds are governed by Apple/Google policies — request via Apple/Google, not iSale
Refunds for service outage > 24 hours may be issued at our discretion as service credit

8. ACCEPTABLE USE

8.1 You may

Use the Service for lawful commercial and personal purposes
Upload product Content you own or have legal authorization to use
Create and export marketing materials for products you sell
Distribute generated videos on platforms whose terms allow such Content

8.2 You may not

You agree NOT to:

Content violations:

Upload Content that infringes intellectual property rights of others
Upload Content depicting minors in sexual or commercial contexts
Upload Content containing personal information of third parties without consent
Upload Content promoting illegal products (e.g., drugs, weapons, counterfeit goods)
Upload hateful, harassing, or discriminatory Content
Upload sexually explicit Content
Upload violent Content beyond ordinary commercial advertising context

Use violations:

Use the Service to generate misinformation or defamatory content
Use the Service to create deepfakes of real persons without their authorization
Make false medical, financial, legal, or scientific claims via the Service
Use the Service to manipulate elections or political discourse
Spam, phish, or distribute malware via Content generated using the Service

Technical violations:

Reverse-engineer, decompile, or attempt to extract our AI models
Bypass rate limits, quotas, or paywalls
Scrape data or content from the Service
Use the Service via unauthorized automated means (bots, scripts) beyond reasonable use
Resell, sublicense, or redistribute Service access without our written permission
Attempt to exploit vulnerabilities (responsible disclosure to security@isale.app is encouraged)

8.3 Consequences of violations

We may, at our sole discretion:

Issue warning
Suspend account temporarily
Terminate account permanently
Delete violating Content
Report illegal activity to Vietnamese authorities
Pursue civil or criminal remedies

Repeated minor violations may escalate to permanent termination.

9. VIETNAMESE REGULATED CATEGORY COMPLIANCE

For products in regulated categories under Vietnamese law (including but not limited to cosmetics, functional foods, pharmaceuticals, food, infant products, and health supplements), you specifically acknowledge:

9.1 Your responsibility

You must hold all required licenses, certifications, and registrations to sell and advertise such products
You must comply with Vietnamese Advertising Law (Luật Quảng cáo 2012), Ministry of Health regulations, and category-specific advertising rules
iSale's AI compliance checker is a tool, not legal advice — final responsibility for Content compliance is yours

9.2 Prohibited claims (non-exhaustive list)

You may not generate Content using iSale that:

Makes unverified medical or therapeutic claims (e.g., "cures disease X")
Compares products to pharmaceuticals or medical treatments without authorization
Uses absolute claims ("100% effective," "guaranteed results")
References certifications you do not hold (e.g., "FDA approved," "MOH approved" without authorization)
Falsely uses doctor, expert, or celebrity endorsements

9.3 Acknowledgment

By using the Service for regulated categories, you acknowledge that:

iSale is not responsible for advertising law violations resulting from your use
iSale's compliance flagging is best-effort, not exhaustive
You hold iSale harmless from regulatory penalties arising from Content you publish

10. USER CONTENT & LICENSES

10.1 Ownership

You retain all ownership rights in:

Product images and descriptions you upload
Brand assets (logo, color, font) you provide
Custom edits you make to AI-generated Content

10.2 License to iSale

By uploading or creating Content via the Service, you grant iSale a worldwide, non-exclusive, royalty-free, sublicensable license to:

Store, process, and transmit your Content as necessary to provide the Service
Send your Content to AI Providers as necessary to generate AI Content (with consent — see AI Transparency)
Generate derivative works (renders, exports, thumbnails) on your behalf
Display your Content within your Workspace and to authorized Workspace members

This license terminates when you delete the Content or close your account, except for:

Backups already created (deleted per retention schedule)
Aggregated, anonymized analytics
Content already shared publicly by you under platform terms

10.3 Backups and incidental copies

We may create operational backups, caches, and copies for service reliability. These are deleted per the Privacy Policy retention schedule.

10.4 Anonymized analytics

We may use aggregated, anonymized usage data (which cannot identify you or your Content) to improve the Service. We do NOT use your specific Content to train our own AI models.

11. AI-GENERATED CONTENT — OWNERSHIP & LIMITATIONS

11.1 Ownership of AI output

Subject to:

Compliance with these Terms
Compliance with applicable AI Provider terms
Your verified ownership of input materials

…you retain ownership of AI-Generated Content produced via the Service for your Workspace.

You may use AI-Generated Content for commercial purposes.

11.2 No guarantees of uniqueness

AI may produce similar or identical output for different Users with similar inputs. We do not guarantee uniqueness of AI-Generated Content.

11.3 Accuracy disclaimer

AI-Generated Content may contain errors, inaccuracies, or hallucinations. You are responsible for:

Reviewing all AI-Generated Content before use
Verifying factual accuracy
Ensuring compliance with applicable laws (especially regulated category rules in §9)

11.4 Provider terms apply

Some AI Provider terms may impose additional restrictions on output (e.g., commercial use restrictions, attribution requirements). We will disclose material restrictions in the AI Transparency document.

11.5 Prohibited AI uses

You may not use iSale's AI to:

Generate Content prohibited under §8 (acceptable use)
Generate Content for use in another generative AI training dataset without our permission
Generate Content that violates applicable AI Provider terms

12. THIRD-PARTY AI PROVIDERS

The Service uses AI Providers to deliver core functionality. The current list, what data is shared, and processing locations are disclosed in the AI Transparency document (isale.app/legal/ai-transparency).

12.1 Your consent

By using AI features, you consent to the transmission of necessary data to AI Providers as disclosed in AI Transparency. You can withdraw consent at any time via Settings; doing so will disable AI features but preserve your account.

12.2 Provider changes

We may add, remove, or change AI Providers. For material changes affecting User data:

30-day advance notice via in-app banner + email
Updated consent version published; you re-consent on next AI call

12.3 No liability for Provider availability

We do not control AI Providers. We are not liable for:

Provider service outages
Provider quality degradation
Provider price changes (we may absorb or pass through with notice)
Provider terms changes that affect your output rights

13. INTELLECTUAL PROPERTY

13.1 iSale IP

The Service, including but not limited to software code, design, "iSale" brand, templates, prompts, AI orchestration logic, and documentation, is owned by us or our licensors and protected by Vietnamese and international IP laws.

You receive a limited, non-exclusive, non-transferable, revocable license to use the Service per these Terms. No other rights are granted.

13.2 Templates and music

Built-in templates and music library are licensed to iSale for redistribution within the Service. You may use them in your AI-Generated Content per the same license. You may not extract or redistribute them outside iSale.

13.3 Trademark

"iSale," our logo, and related marks are our trademarks. Limited use for accurate reference (e.g., "Built with iSale") is permitted; commercial use requires written permission.

13.4 Feedback

If you provide feedback, suggestions, or feature requests, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation or compensation.

14. MOBILE APP SPECIFICS (APPLE / GOOGLE)

14.1 App Store and Play Store

You acknowledge that mobile apps are subject to:

Apple App Store Terms if downloaded from App Store
Google Play Terms of Service if downloaded from Google Play

To the extent of conflict, App Store / Play Store Terms govern the binary distribution; these iSale Terms govern your use of iSale Service.

14.2 Apple-specific clauses (required by App Store Review Guidelines)

These Terms are between you and iSale, NOT Apple
Apple is NOT responsible for the Service or any claims relating to it
iSale (not Apple) is responsible for warranty, support, IP claims, and product liability
Apple is a third-party beneficiary of these Terms and may enforce them against you
You acknowledge compliance with U.S. export laws applicable to App Store apps

14.3 Google-specific clauses

Google is not party to these Terms
iSale is solely responsible for the app
Google Play's policies apply to your downloading and using the app

14.4 In-App Purchase (where applicable)

iOS IAP subscriptions are managed by Apple; you must cancel via Apple settings
Android IAP subscriptions are managed by Google; cancel via Play Store
Refunds for IAP follow Apple / Google policies, not iSale's

15. PRIVACY & DATA PROTECTION

Your privacy is governed by the Privacy Policy (isale.app/legal/privacy), which is incorporated into these Terms by reference.

15.1 Vietnam PDP Law compliance

We process Personal Data in compliance with Decree 13/2023/NĐ-CP on Personal Data Protection.

15.2 Data breach notification

In the event of a Personal Data breach affecting you, we will notify you within 72 hours of confirmation, per Decree 13/2023/NĐ-CP requirements.

15.3 Your data rights

You have rights under Privacy Policy §7 (access, correction, deletion, portability, objection, restriction). Exercise via dsar@isale.app.

16. SERVICE AVAILABILITY & MAINTENANCE

16.1 Availability target

We aim for 99.5% monthly uptime but do not guarantee uninterrupted Service.

16.2 Scheduled maintenance

We may perform scheduled maintenance with reasonable advance notice. Maintenance windows generally < 1 hour, scheduled during low-traffic periods (Vietnamese time 02:00–05:00).

16.3 Unscheduled outages

For unplanned outages > 4 hours affecting paid Users, we may issue service credit at our discretion (see Refund Policy).

16.4 Feature changes

We may modify, suspend, or discontinue features. For paid tier features, we provide 30 days' notice and pro-rata refund or service credit.

17. SUSPENSION & TERMINATION

17.1 By you

You may close your account anytime via Settings → Privacy → Delete Account. Effects:

Access immediately terminated
Content deleted per Privacy Policy retention schedule
No refund for unused subscription (except first 7 days — see Refund Policy)

17.2 By us — for cause

We may suspend or terminate immediately if you:

Violate these Terms materially
Engage in fraudulent activity
Use the Service to endanger others or infrastructure
Are required by law or court order

17.3 By us — for convenience

We may terminate your account with 30 days' notice for non-cause reasons. We refund prepaid amounts pro-rata.

17.4 Effect of termination

Upon termination:

License to use the Service ends
We may delete your account data after the retention period
Sections that by nature survive (e.g., §18, §19, §20, §24) remain in effect

18. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY, COMPLETENESS, OR RELIABILITY OF AI-GENERATED CONTENT
UNINTERRUPTED OR ERROR-FREE OPERATION
COMPLIANCE WITH SPECIFIC INDUSTRY OR REGULATORY REQUIREMENTS BEYOND DISCLOSED FEATURES

YOU USE THE SERVICE AND AI-GENERATED CONTENT AT YOUR OWN RISK.

NOTHING IN THIS DISCLAIMER EXCLUDES OR LIMITS WARRANTIES THAT CANNOT BE EXCLUDED UNDER VIETNAMESE LAW.

19. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

19.1 Cap on liability

Our total aggregate liability to you for any and all claims arising from or relating to these Terms or the Service is capped at the GREATER OF:

The total amount you paid us in the 12 months preceding the claim

19.2 Excluded damages

We are NOT liable for:

Lost profits, lost revenue, lost business opportunity
Lost data (beyond reasonable backups per Privacy Policy)
Indirect, incidental, consequential, special, or punitive damages
Damages arising from AI-Generated Content
Damages arising from third-party AI Provider actions or outages
Damages arising from your violation of these Terms or applicable law

19.3 Survival of exclusions

These limitations apply even if remedies fail of their essential purpose.

19.4 Statutory rights

Nothing in this section limits liability where prohibited by Vietnamese law (e.g., gross negligence, willful misconduct, fraud).

20. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless iSale, its officers, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising from:

Your Content (including IP infringement claims)
Your use of AI-Generated Content (including advertising law violations under §9)
Your violation of these Terms or applicable law
Your violation of any third-party rights
Your gross negligence or willful misconduct

We may, at our option, control defense of any indemnified claim, in which case you must cooperate.

21. FORCE MAJEURE

Neither party is liable for failure to perform due to events beyond reasonable control, including:

Natural disasters
War, terrorism, civil unrest
Government action, embargo, change of law
Pandemic, epidemic
Internet, electricity, or telecommunications failure beyond our infrastructure
Third-party Provider catastrophic failure (e.g., AWS region outage > 24 hours)

Affected party must notify the other within reasonable time and resume performance as soon as practicable.

22. MODIFICATIONS TO TERMS

We may update these Terms from time to time. For:

Non-material changes (typo, clarification, contact update):

Effective immediately upon posting
"Last updated" date revised

Material changes (including new fees, expanded use of data, new sub-processors):

30 days' advance notice via in-app banner + email to registered email
Continued use after the effective date constitutes acceptance
If you do not agree, you may close your account before the effective date and receive pro-rata refund

Archived versions available at isale.app/legal/archive.

23. NOTICES

23.1 From iSale to you

We send notices via:

In-app banner or modal
Email to your registered email address (from Google/Apple OAuth)
Push notification (mobile)

It is your responsibility to keep your email address current.

23.2 From you to iSale

You send notices to:

Legal: legal@isale.app
Privacy / DSAR: dsar@isale.app
Security: security@isale.app

Notices are effective upon receipt or 72 hours after sending, whichever comes first.

24. DISPUTE RESOLUTION & GOVERNING LAW

24.1 Governing law

These Terms are governed by the laws of the Socialist Republic of Vietnam, without regard to conflict of laws principles.

24.2 Pre-litigation resolution

Before initiating any legal action, parties agree to attempt resolution through:

Direct negotiation in good faith for 30 days
If unresolved, mediation through a mutually agreed Vietnamese mediator for additional 30 days

24.3 Jurisdiction

If pre-litigation resolution fails:

For consumers (per Vietnamese Consumer Protection Law): competent court at the consumer's place of residence in Vietnam
For business users: courts of Hanoi or Ho Chi Minh City, Vietnam (mutually agreed)
For non-Vietnam Users: as required by applicable consumer protection law of the User's jurisdiction; otherwise Vietnam courts

24.4 No class actions

To the maximum extent permitted, you agree to resolve disputes individually and not as part of a class action or representative proceeding.

(This clause may be void in jurisdictions where class action waivers are unenforceable.)

24.5 Time limit

Any claim must be brought within one (1) year from when it arose, except as required otherwise by applicable law.

25. MISCELLANEOUS

25.1 Entire agreement

These Terms + Privacy Policy + AI Transparency + Refund Policy + EULA + Cookie Policy constitute the entire agreement between you and iSale.

25.2 Severability

If any provision is held unenforceable, the remaining provisions remain in full force.

25.3 No waiver

Failure to enforce a provision is not a waiver of future enforcement.

25.4 Assignment

By you: you may not assign or transfer your rights without our written consent.
By us: we may assign these Terms in connection with merger, acquisition, sale of assets, or reorganization, with notice to you.

25.5 Independent contractors

These Terms do not create a partnership, joint venture, employment, or agency relationship.

25.6 Third-party beneficiaries

Except as expressly stated (e.g., Apple for §14.2), these Terms do not confer rights on third parties.

25.7 Language

These Terms are originally in English. A Vietnamese translation will be provided as the binding version for Vietnamese Users; in case of conflict, the Vietnamese version prevails for Vietnamese Users, and English for others.

25.8 Headings

Section headings are for convenience only and do not affect interpretation.
